1. OVERVIEW.

Each memecoin sold by Buy Moonshots, Inc. d/b/a Moonshot, and/or its affiliates (collectively, “Sponsor,” “our,” or “us”) that includes a “No Purchase Necessary” designation on its packaging, product page, or related promotion materials (each, an “Eligible Product”) provides you an opportunity to obtain certain digital tokens or collectibles offered in connection with that Eligible Product (“Premium Tokens”) by participating in the free to enter quarterly Moonshot Packs Sweepstakes (the “Sweepstakes”), subject to the terms of these Official Rules.

These Official Rules apply only to designated Eligible Products and do not apply to Moonshot’s create, spot, or leverage trading products or its referral program, Moonshot Mondays, X giveaways, or similar promotional programs, which are governed separately.

The Sweepstakes is a promotional program applicable only to designated Eligible Product Categories and does not alter or affect the outcome of any pack opening experience.


2. SPONSOR.

The sponsor of the Sweepstakes is Buy Moonshots, Inc., which may be contacted at support@moonshot.com or Buy Moonshots, Inc. 390 NE 191st St STE 68438, Miami, FL 33179.


3. SWEEPSTAKES PERIOD.

The Sweepstakes begins on the first day of each calendar quarter at 12:00:00 a.m. Eastern Time and ends on the last day of such calendar quarter at 11:59:59 p.m. Eastern Time (each, a “Sweepstakes Period”). For purposes of these Official Rules, calendar quarters are defined as: January 1 through March 31 (Q1), April 1 through June 30 (Q2), July 1 through September 30 (Q3), and October 1 through December 31 (Q4). Sponsor reserves, in its sole discretion, the right to extend, shorten, suspend, or terminate any Sweepstakes Period as permitted by these Official Rules and applicable law. Sponsor’s database clock will be the official timekeeper for the Sweepstakes.


4. ELIGIBILITY.

The Sweepstakes is open only to legal residents of the 50 United States or the District of Columbia, excluding residents of Florida, Idaho, Louisiana, Michigan, Nevada, New York and Washington, who are aged 18 or older at the time of entry (each, an “Entrant”).

Employees, officers, directors, agents, and representatives of Sponsor, any independent sweepstakes administrator appointed by Sponsor (the “Administrator”), and each of their parent companies, subsidiaries, affiliates, and anyone else connected with the production and distribution of this Sweepstakes and their immediate families (spouse, parent, child, sibling, and their respective spouses, no matter where they reside) and those living in the same household, whether or not related, are not eligible to enter or win.

Sponsor reserves the right to verify eligibility and to adjudicate any dispute regarding an individual’s eligibility at any time. If, in participating in the Sweepstakes, an Entrant provides any false information, including with respect to the Entrant’s identity, residency, mailing address, telephone number, email address, or other information required for entering the Sweepstakes, Sponsor, in its sole discretion, may disqualify the Entrant from the Sweepstakes.

All eligibility is subject to all federal, state, and local laws and regulations.


5. ACCEPTANCE OF RULES AND TERMS.

Each Entrant agrees that they have reviewed and accept Sponsor’s Privacy Policy and Terms of Use. In addition, each Entrant agrees they have reviewed and unconditionally agree to abide by these Official Rules. These Official Rules are final and binding in all respects and are subject to all federal, state, and local laws and regulations.

These Official Rules govern the Sweepstakes, but they do not govern Sponsor’s websites or services, which are governed by their own terms. Further, in the event of a conflict between these Official Rules and any instructions or interpretations of these Official Rules given by an employee or agent of Sponsor regarding the Sweepstakes, these Official Rules shall prevail.

In the event of any discrepancy or inconsistency between the Official Rules and disclosures or other statements contained in any Sweepstakes-related materials, these Official Rules shall prevail, govern, and control.


6. HOW TO ENTER.

Entrants may receive a Prize, as defined below, by (i) purchasing Eligible Products through Sponsor’s platform or (ii) by submitting a mailed entry (an “Entry”) via the no purchase necessary method below. There is no purchase necessary to enter or win a Prize, and any purchase of an Eligible Product will not increase an Entrant’s chance of winning a Prize.

Mail-in Entrants will be entered into a random drawing for Prizes corresponding to the Epic and Mythical rarity tiers only within the Eligible Product Category selected in their Entry. Mail-in Entrants will have the same odds of receiving an Epic or Mythical rarity Prize as a purchaser of the corresponding Eligible Product. For clarity, mail-in Entrants are not eligible to receive Prizes in the Common, Uncommon, or Rare rarity tiers; only Epic and Mythical rarity outcomes constitute a Prize for purposes of this Sweepstakes. If a mail-in Entry does not result in an Epic or Mythical rarity outcome, no Prize is awarded for that Entry.

For a chance to obtain a Prize, at the same odds an Entrant must hand-print in black or blue ink on a piece of paper their: (i) full name, (ii) complete mailing address, (iii) telephone number, (iv) email address, (v) age, (vi) Moonshot username, and (vii) identify the Eligible Product Category for which the Entrant wishes to be entered, insert that paper into a standard business-size stamped envelope, and mail it to: ATTN: MOONSHOT PACKS SWEEPSTAKES, Buy Moonshots, Inc. 390 NE 191st St STE 68438, Miami, FL 33179. Mail-in entries must be postmarked on or before the last day of the applicable Sweepstakes Period and received by Sponsor or Administrator no later than seven (7) days after the end of the applicable Sweepstakes Period. Upon Sponsor’s or Administrator’s receipt of an Entry, an Entrant’s name will be entered to win a Prize for the applicable Sweepstakes Period drawing.

Entries are limited per household per calendar quarter during the Sweepstakes Period. Entries are limited to three (3) per household per calendar quarter across all Eligible Product Categories. An Entrant may allocate their entries across one or more Eligible Product Categories (Starter Pack, Casual Pack, Collector Pack, Master Pack, or Unemployed Pack), but the total number of entries may not exceed three (3) per Sweepstakes Period regardless of the number of categories entered. Entries are limited to one per envelope. Entry in this Sweepstakes does not count as an entry into any other sweepstakes, contest, waitlist, referral, leaderboard, or community milestone promotion.

The name of the person submitting the Entry must be the individual who completed the Entry. Entries that are forged, incomplete, illegible, altered, submitted by an individual who is not the Entrant, garbled, or generated by a macro, bot, or other automated means will not be accepted and will be void. No photocopies, facsimiles, or mechanical reproductions will be accepted. Sponsor is not responsible for lost, late, mutilated, misdirected, illegible, incomplete, inaccurate, stolen, or postage-due Entries.

All Entries are and remain Sponsor’s exclusive property and will not be acknowledged, exchanged, modified, or returned. Entries must be received by Sponsor during the Sweepstakes Period to be considered for the Sweepstakes. Proof of an Entry (such as a copied, printed, or saved version of a confirmation message) is not proof of actual receipt or acceptance of an Entry.


7. CONSENT TO COMMUNICATIONS.

Each Entrant who submits an Entry thereby consents to receive communications from Sponsor for the purpose of administering this Sweepstakes.

An Entrant who submits an Entry will not receive communications from Sponsor about other offers and communications that may interest the Entrant unless the Entrant agrees to receive such communications independent of their participation in the Sweepstakes.


8. ODDS.

The odds of receiving a Prize through the Sweepstakes depend on the total number of eligible Entries received for each Eligible Product Category during the applicable Sweepstakes Period and the number of Prizes allocated to each category.

For reference only, Premium Tokens associated with the applicable Eligible Product Categories are distributed through paid pack openings according to a tiered probability model. Distribution details, including tier probabilities and token allocations, are disclosed within the Moonshot app on the pack opening screen (See “What’s Inside?” hover over) prior to purchase.

Mail-in entries and purchase-based entries will have substantially similar odds of receiving a Prize within the same Eligible Product Category, consistent with applicable law.

Actual odds of winning a Prize through the Sweepstakes will vary depending on the number of eligible Entries received during the applicable Sweepstakes Period.

The Platform implements a streak protection mechanic that may adjust the rarity tier of a user’s next eligible outcome following two (2) consecutive outcomes that fall below the applicable pack price. An adjustment will only occur if the user’s cumulative return across those prior outcomes is sufficiently below expected value to support the upgrade within the overall distribution parameters. Streak protection does not guarantee a specific outcome, does not modify the overall odds disclosed for each Eligible Product Category, and is applied equally to all entry methods (paid and mail-in). The base odds disclosed for each rarity tier reflect the probability of each outcome before any streak protection adjustment. Actual individual outcomes may vary from disclosed base odds as a result of streak protection. For mail-in entries, streak protection is applied equally; however, only outcomes in the Epic or Mythical rarity tiers constitute a Prize for mail-in Entrants, as described in Section 6.


9. PRIZES.

Mail-in Entry Prizes are limited to outcomes in the Epic and Mythical rarity tiers within each Eligible Product Category. Approximate retail values (“ARV”) for mail-in Prizes are as follows:

  • Starter Pack: $2.50 – $50

  • Casual Pack: $5 – $100

  • Collector Pack: $12.50 – $250

  • Master Pack: $50 – $1,000

  • Unemployed Pack: $250 – $5,000

Prize values are market-based estimates and subject to change. A Winner, as defined below, will receive one (1) Premium Token allocated to the applicable Eligible Product Category selected in the Entry or a substitute Premium Token of similar rarity and value within that Eligible Product Category (“Prize(s)”). The specific Prize awarded will depend on the Eligible Product selected when submitting an Entry. Delivery of any Prize is subject to Sponsor’s verification procedures, including compliance with applicable identity verification, anti-fraud, tax, and legal requirements. Failure to complete such requirements within a reasonable period of time after notification may result in disqualification and selection of an alternate Winner, as permitted by applicable law.

It is impossible to establish an exact value of a Prize or predict values based on several conditions such as current and local market conditions, which are subject to change, and other factors.

Individual odds may be adjusted by the Platform’s streak protection mechanic as described in Section 8. Streak protection is designed to reduce the likelihood of extended sequences of below-value outcomes and does not guarantee any particular prize or value. The overall distribution of outcomes across all users remains consistent with the disclosed odds.

Sponsor will not replace any lost, damaged, stolen, or undeliverable Prize. Sponsor is not responsible for any inability of a Winner to accept or use a Prize for any reason. No Prize substitutions or other consideration will be provided to a Winner, except in Sponsor’s sole discretion.

Sponsor reserves the right and sole discretion to substitute a Prize or any portion thereof for one of a comparable or greater value of a Prize, as determined by Sponsor in its sole discretion, for any reason, including, without limitation, Prize unavailability.

ALL PRIZES ARE AWARDED “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED (INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE).


10. WINNER SELECTION.

Winners will be selected in a random drawing conducted on or about the tenth (10th) day following the end of the applicable Sweepstakes Period from among all eligible Entries received for each Eligible Product Category for that Sweepstakes Period.

For each Eligible Product Category, the number of Winners selected will correspond to the number of Prizes allocated to that category, as determined by Sponsor in its sole discretion and consistent with the disclosed odds framework.

The random drawing will be conducted using a method designed to ensure fairness and compliance with applicable law. All eligible Entries received during the applicable Sweepstakes Period will have an equal opportunity to be selected within their respective Eligible Product Category.


11. WINNER NOTIFICATION.

A potential winning Entrant will be notified via email by Sponsor or the Administrator requesting confirmation of the winner’s name and mailing address. The winner is subject to verification.

A potential winning Entrant will be required to complete, sign, and return an Affidavit of Eligibility/Liability Release and, where lawful, a Publicity Release and W-9 taxpayer request for identification (as required by the IRS) (collectively, the “Winner Documents”), within three (3) business days of the first attempted notification.

Once eligibility has been verified and Sponsor or the Administrator receives a potential winning Entrant’s requested information, Sponsor will declare the Entrant a winner (“Winner”) and will arrange to award the Prize to the Winner.

If a potential winning Entrant fails to respond to any notification attempt within three (3) business days, or if any attempted notification or Prize delivery is returned as undeliverable, or if a potential winning Entrant fails to complete and return any required Winner Documents within the specified time period, the potential winning Entrant may be disqualified and an alternate winner may be selected from all remaining eligible entries (“Alternate Winner”).

If a Winner is unable to accept or otherwise rejects a Prize, Sponsor may select an Alternate Winner without any notice or liability to the prior Winner.


12. PUBLICITY RELEASE/ASSIGNMENT OF RIGHTS.

By accepting a Prize, the Winner irrevocably grants Sponsor the right and permission (except where prohibited by law) to use Winner’s name, Moonshot username, Moonshot account photo(s), Prize won, likeness, photograph, voice, address (state), and biographical information in any media throughout the world in perpetuity for purposes of advertising, online posting, promotion, and publicity in connection with the Sweepstakes without additional compensation. In the event the granting of such rights is prohibited or limited by law, the Winner grants the Sponsor the same rights and permissions to the maximum duration and extent permissible by law.


13. USE OF DATA.

Any information that Entrants share with Sponsor and/or the Administrator (including, without limitation, all information included on any entry form) may be used (and disclosed to third parties) by Sponsor for purposes of administration of the Sweepstakes and to communicate with the Entrant in relation to the Sweepstakes. Information collected from mail-in entries will be used exclusively for the administration of this Sweepstakes and will not be added to Sponsor’s general marketing lists unless the Entrant provides an independent, affirmative opt-in for such communications. Entrants are providing information to Sponsor.

All information regarding Entrants collected by Sponsor and the Administrator and/or their agents and contractors will be treated in accordance with Sponsor’s Privacy Policy. Any data discovered to have been collected from an ineligible minor will be deleted immediately upon discovery.


14. DISQUALIFICATION.

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY MOBILE APPLICATION OR WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

Sponsor reserves the right, in its sole discretion, to disqualify any individual who is found to have tampered with the entry process or the operation of the Sweepstakes, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Sweepstakes, or to disparage, annoy, abuse, threaten, or harass any other person.

No incomplete, forged, software-generated, or other automated multiple entries will be accepted. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision.

If any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.


15. LIMITATION OF LIABILITY.

By entering the Sweepstakes, each Entrant represents and agrees (and agrees to confirm in writing) to release and hold harmless Sponsor, its parents, subsidiaries, affiliates, divisions, advertising and promotional agencies, wholesalers and retailers, suppliers, and each of their employees, officers, directors, shareholders, and agents (collectively, the “Released Parties”) from and against any and all claims, actions, and/or liability for any injuries, death, loss, or damage of any kind arising from or in connection with participation in and/or entry into the Sweepstakes or acceptance or use of any Prize or participation in any Sweepstakes-related travel or other activity and for any claims based on publicity rights, defamation, invasion of privacy, and merchandise delivery.

Each Entrant represents and agrees (and agrees to confirm in writing) to indemnify, release, and hold harmless the Released Parties from and against any and all liability, claims, loss, damage, injury or expense, including reasonable attorney’s fees, arising in connection with any third-party action arising out of a breach or allegation which if true would constitute a breach of any of Entrant’s representations, warranties or obligations herein. Each Entrant hereby acknowledges that the Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation or guarantee, express or implied, in fact or in law, relative to a Prize. Any and all warranties and/or guarantees on a Prize (if any) are subject to the respective manufacturers’ terms therefore, and Winner agrees to look solely to such manufacturers for any such warranty and/or guarantee.

By participating in the Sweepstakes, each Entrant agrees to release and hold harmless the Released Parties from, including, but not limited to (i) any technical errors that may prevent an Entrant from submitting an Entry or from claiming a Prize, including, but not limited to, errors within the Moonshot mobile application, any associated smart contract execution, or blockchain network disruption; (ii) unauthorized human intervention in the Sweepstakes; (iii) errors in the display, calculation, or transmission of token quantities, estimated values, or tier probabilities within the Moonshot app; (iv) Sweepstakes administration or Entry processing; (v) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt, use, transfer, or sale of a Prize; (vi) fluctuations in the market value of any tokens received as a Prize, whether occurring before, during, or after the claim process; (vii) delays in or failure of token delivery due to blockchain network congestion, failed or reverted blockchain transactions, smart contract execution errors, insufficient gas, wallet compatibility issues, or KYC verification processing; (viii) any loss of tokens, gas fees, or other costs resulting from failed, reverted, or otherwise unsuccessful blockchain transactions, whether caused by network conditions, smart contract behavior, wallet errors, or any other on-chain or off-chain factors; or (ix) Entrant’s participation in the Sweepstakes. Entrant acknowledges and agrees Released Parties assume no responsibility whatsoever for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, blockchain network failure or congestion, failed or reverted on-chain transactions, smart contract malfunction, wallet incompatibility, theft or destruction or unauthorized access to, or alteration of, Entries or Prize tokens. Released Parties are not responsible for any problems or technical malfunction of any mobile network, mobile device, operating system, application software, blockchain network, digital wallet provider, on-chain transaction processing, servers, or providers, failure of any Entry to be received by Sponsor on account of technical problems, human error, or network congestion, or any combination thereof, including any injury or damage to an Entrant’s or any other person’s mobile device or digital wallet relating to or resulting from participation in this Sweepstakes.


16. MODIFICATION/FORCE MAJEURE.

In the event (i) a virus, bugs, entrant fraud, or misconduct affect or corrupt the administration, integrity, security, or proper operation of the Sweepstakes; (ii) Sponsor deems necessary to comply with the terms of use or terms of service of any applicable social media platform or in connection with changes to such terms; or (iii) Sponsor is prevented from awarding the Prize or continuing with the Sweepstakes as contemplated herein by any event beyond its control, including, but not limited to, fire, flood, natural or man-made epidemic of health or of other means, pandemic, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, pandemic, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control, then Sponsor shall have the right to modify, suspend, or terminate the Sweepstakes.

Sponsor shall provide notice of any such modification, suspension, or termination via the Sweepstakes website. Any modification to the Sweepstakes Period must result in a new, defined end date and shall not result in a perpetual or indefinite promotion.


17. TAXES.

The value of a Prize will be taxable to the Winner as income. All federal, state, and local taxes and any other costs and expenses associated with acceptance and/or use of a Prize not specifically provided for in these Official Rules are solely each Winner’s responsibility.

Each Winner is solely responsible for reporting and paying any and all applicable taxes. A Winner must provide Sponsor with valid identification and a signed IRS Form W-9 before any Prize will be awarded. A Winner must contact their own tax advisor for any questions about taxes.


18. DISPUTES.

All disputes concerning the construction, interpretation, validity, effect, and enforceability of these Official Rules will be governed by Sponsor’s Terms of Use, specifically the Binding Arbitration and Class Action Waiver provisions set forth in Section 16 of the Terms of Use, which are incorporated herein by reference.


19. WINNER’S LIST.

To obtain the name of a winner, send a self-addressed, stamped envelope to: Moonshot Packs Sweepstakes Winners List, Buy Moonshots, Inc., 390 NE 191st St STE 68438, Miami, FL 33179, within thirty (30) calendar days after the selection of a Winner. Requestor must include a valid email address on the postcard or envelope. The Winners List may be provided via email to the address included in the request or by return mail at Sponsor’s sole discretion.


20. NO THIRD-PARTY SPONSOR.

This Sweepstakes is not sponsored, endorsed, administered by, or associated with any memecoin project, token issuer, token creator, blockchain protocol, decentralized autonomous organization (DAO), or community associated with any token distributed as a Prize, including but not limited to the creators, developers, foundations, or teams behind any memecoin, its associated branding, characters, imagery, or intellectual property. The inclusion of any token in a Prize does not imply any partnership, affiliation, endorsement, or sponsorship by or with the entity or community associated with that token. All trademarks, token names, character designs, logos, and associated intellectual property referenced in connection with this Sweepstakes remain the property of their respective owners. Sponsor’s use of token names, token image, title, player or character name, or trademark in connection with any Prize is solely for the purpose of identifying the tokens distributed as Prizes and neither constitutes a claim of ownership or affiliation, nor is intended to suggest any affiliation with, or sponsorship or endorsement by, the trademark owner.
